End User License Agreement

This agreement is between you and Form and Function Studio, trading as OA Labs, and covers every OA Labs plugin, free or paid (“the software”). By installing or using the software you agree to it. The plain-English summary: use it in your music however you like, keep your license to yourself, and don’t resell or repackage the plugin itself.

License

OA Labs grants you a personal, non-exclusive, non-transferable license to install and use the software on computers you own or control. You may use it in your own recordings, performances, and productions, personal or commercial, with no royalty owed and no attribution required. The software is licensed, not sold.

Free plugins

Free plugins, such as OA-Phosphor-1, need no license key and no payment. You may install them on as many of your own computers as you like. There is no trial and no expiry. Once a plugin is released free, it stays free indefinitely: we won’t start charging for it later, and it gets the same support as our paid plugins.

Paid plugins

A paid plugin is a one-time purchase, sold to you by our reseller, Dodo Payments. Your purchase gives you a perpetual license, unlocked with a license key.

• Three activations. One license key can be active on up to three computers at a time. To move to a new computer, deactivate one from inside the plugin. If you no longer have the old computer, email support@oa-labs.com and we’ll free it up.
• Activation is online. Activating and validating a key needs an internet connection; see Privacy for what is sent.
• Not transferable. The license is yours alone. You may not sell, give, lend, or transfer it, or the license key, to anyone else.
• Updates. Updates to the version you buy are free. A future major version may be a separate purchase; if so, the version you own keeps working with your key.
• Refunds. If a purchase is refunded, its license key is disabled and the license ends. See the Refund Policy.

Free trial

Paid plugins can be used free for 14 days without a license key, fully working, so you can try them in your setup before you buy. When the trial ends, the plugin keeps running but its audio drops out briefly every 45 seconds until you enter a license key. The trial is for evaluation; please don’t try to reset or extend it.

What you may not do

• Sell, rent, sub-license, or otherwise redistribute the software, its installer, or a license key.
• Share a license key, or use one beyond its activations.
• Bypass, disable, or tamper with license activation or the trial.
• Reverse-engineer, decompile, or attempt to extract the source or algorithms, except where the law expressly allows it.
• Present the software as your own product, or bundle it into another product.

Your work

Anything you create with the software is yours. This license covers the plugin, not the music you make with it, and a license ending never affects audio you have already made.

Ownership

OA Labs retains all rights, title, and interest in the software, its name, its presets, and its design. Any third-party components included in the software remain their owners’ and are used under their own licenses.

No warranty

The software is provided “as is,” without warranty of any kind, to the fullest extent permitted by law. We don’t guarantee it is error-free or that it will run in every host or on every system; the trial is there so you can check. Nothing here limits rights you have under consumer law where you live that cannot be excluded.

Limitation of liability

To the fullest extent permitted by law, OA Labs is not liable for any indirect, incidental, or consequential loss, including lost data or lost work, arising from use of the software. For a paid plugin, our total liability is limited to the price you paid for it. Back up your projects.

Termination

This license ends if you break its terms, or if your purchase is refunded or charged back. When it ends, stop using the software and remove it. The sections on ownership, your work, warranty and liability continue to apply.

Changes

We may update this agreement for future versions. The version in force when you install a release applies to that release.

Governing law

This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
